MEMBER AGREEMENT

This Agreement ("Agreement") is a contract between you and Retire On Spending, Inc. (ROS). By enrolling as a member you affirm that you have read and fully understand, and agree to be bound by, all of its provisions. 

                                            PROVISIONS

1. MEMBERSHIP AVAILIBILITY – Only individuals and entities that reside in the United States or Canada and that can form legally binding contracts under applicable law may enroll as a ROS Member. 

2. MEMBERSHIP COST – The annual Membership Fee is $25 and includes a personal ROS replicated member web site with a private back office and the ROS Grocery, Prescription, and SMART MART Super Saver Programs. Complete terms of use for each of these programs are available via retireonspending.com.

3. SMART REWARDS – SMART REWARDS are Cash Rebates that ROS pays you when you make purchases from your private SMART MART (contained in your personal web site), as follows:

a) Each merchant in the SMART MART displays a “Member” and “Affiliate” SMART REWARD percentage. ROS mails you a check for the “Member” SMART REWARD percentage of each purchase you make from your private SMART MART. Should you elect to upgrade to Affiliate and maintain a current Affiliate Services subscription ROS will pay you the “Affiliate” SMART REWARD percentage and will waive future annual $25 membership fees.

b) Your SMART REWARDS report is located in your private back office. Each of your SMART REWARDS is posted there when the corresponding transaction is confirmed by the merchant. Transactions are normally confirmed within seven (7) to twenty-one (21) days from the date of shipment. To allow for return policies (normally 30 to 90 days), your SMART REWARDS will be processed for payment on the last day of the second month following the month they are posted to this report.

c) Your SMART REWARD checks will be mailed within ten (10) days from the processing date each month the total amount equals $10 or more. Amounts less than $10 are carried over to the next month.

d) SMART REWARDS are based on the purchase price only and are not computed on taxes, shipping, or any other charges.

e) The SMART REWARD checks that ROS mails you are not taxable income, they are non-taxable rebates.

4. RELATIONSHIP – This agreement does not create an employer/employee, agency, partnership, or joint venture relationship between ROS and you. You will not be treated as ROS employee or Independent Contractor for Federal or State tax purposes. You will be treated as a customer.

5. POLICIES AND PROCEDURES – You affirm that you have read and fully understand the ROS Member Policies and Procedures and the terms of use for each Super Saver Program as shown via www.retireonspending.com and you agree to be bound by all of the provisions therein.

6. CANCELLATIONS – If you are dissatisfied or unhappy with your membership, for any reason whatsoever, your sole and exclusive remedy is to cancel your membership via your back office. Canceling your membership voids this Agreement and you forfeit all pending SMART REWARDS. No refunds are given for any unused portion of an annual membership.

7. COMPLETE AGREEMENT - This Agreement is the sole, exclusive, and entire agreement between you and ROS. All other prior written, electronic, oral, or understood agreements between you and ROS, and any representations made to you by any existing ROS member, affiliate, associate, constituency, business partner, agent, representative, or employee, prior to your enrollment as a member, are hereby null and void.
